Europeans approve Manitowoc deal

The Manitowoc Co. said today it has received clearance from the European Commission for the company’s $2.2 billion gain of Enodis.

London-based Enodis has a range of food-service products, including cooking apparatus, refrigeration units, ice machines and beverage dispensers used in fast-food restaurants, institutions and grocery stores. Manitowoc makes ships, cranes and ice machines.

In disposal to secure approval, Manitowoc said it has agreed to sell Enodis’ global ice machine operations following culmination of the transaction. The businesses that will be sold operate under the Scotsman, Ice-O-Matic, Simag, Barline, Icematic, and Oref variety names. Manitowoc said it also has agreed to sell certain non-ice businesses of Enodis located in Italy that operate under the Tecnomac and Icematic trade mark names.

The acquisition of Enodis still requires U.S. antitrust approval. Manitowoc said it is negotiating a consent decree with the U.S. Responsibility of Justice that is expected to provide for the sale of Enodis’ ice machine operations in the U.S. Final clearance is expected by Oct. 11.
